Welcome to Serjeanty. By accessing or using our website and services, you (“Client,” “you,” or “your”) agree to be bound by the following Terms and Conditions. If you do not agree, please do not use our services.

1. Services

Serjeanty provides full-cycle website development and digital creative services. Scope, pricing, timelines, and deliverables will be outlined in individual project proposals or service agreements.

2. Payment Terms

  • Payment terms will be specified in the project agreement or invoice.
  • Late payments may incur a 1.5% monthly interest or the maximum allowed by Florida law.
  • We reserve the right to pause work or withhold deliverables for non-payment.

3. Client Responsibilities

Clients agree to:

  • Provide timely feedback and access to assets or accounts as needed
  • Review and approve work within agreed timelines
  • Ensure content provided does not infringe on any third-party rights or violate laws
  • Respond to communications within [5] business days to avoid project delays

4. Intellectual Property

  • Serjeanty retains ownership of all pre-existing intellectual property and development tools.
  • Final deliverables, upon full payment, become the client’s property unless otherwise agreed in writing.
  • We reserve the right to showcase completed work in our portfolio unless confidentiality is requested in writing.

5. Revisions and Changes

  • Projects include a reasonable number of revisions as outlined in the service agreement.
  • Additional revisions or changes to scope may be billed separately at our standard hourly rate.

6. Hosting & Maintenance

Unless explicitly included in the project agreement, Serjeanty does not provide ongoing hosting, maintenance, or security services post-launch. Referrals to trusted third-party providers are available upon request.

7. Cancellations and Refunds

  • Either party may cancel a project with written notice.
  • In the event of cancellation, the client is responsible for payment of completed work and applicable non-refundable fees.
  • Refunds are not guaranteed unless required by law.

8. Warranties and Disclaimers

  • Our services are provided “as is” and “as available.”
  • We do not guarantee uninterrupted or error-free performance.
  • Clients are responsible for testing and approving all deliverables prior to launch.

9. Limitation of Liability

To the maximum extent permitted by law, Serjeanty will not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Any amount exceeding the total paid by the client in the past 6 months

10. Indemnification

You agree to indemnify and hold Serjeanty harmless from any claims, liabilities, or legal fees arising from content you provide or actions taken using our deliverables.

11. Force Majeure

We are not liable for delays or failures due to causes beyond our control, including natural disasters, pandemics, internet outages, labor strikes, or government restrictions.

12. Non-Solicitation

You agree not to directly solicit or hire any Serjeanty contractors or employees involved in your project for a period of 12 months after completion, unless we provide written consent.

13. Dispute Resolution

Any concerns or disputes regarding the products or services you receive must first be addressed through Client Care. Please email clients@serjeanty.com and allow us an opportunity to resolve the matter promptly and professionally before taking further action.

14. Privacy

Use of our services is governed by our Privacy Policy, which outlines how we collect and handle your information.

15. Third-Party Tools & Services

We may use or recommend third-party tools or platforms (e.g., hosting, analytics, payment processors). Serjeanty is not liable for their performance, terms, or availability.

16. Governing Law

These Terms are governed by the laws of the State of Florida. Any disputes not resolved through Client Care will be settled in the courts of Orange County, Florida, unless otherwise agreed in writing.

17. Modifications

We may update these Terms at any time. The effective date above will reflect the most recent version. Continued use of our services constitutes acceptance of any changes.
